Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the RightHold platform ("Service"), operated by RightHold Ltd ("we", "us", "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms.
2. Service Description
RightHold provides a software-as-a-service platform for managing rental property compliance obligations, including but not limited to certificate tracking, compliance monitoring, document storage, and evidence management. The Service is designed to assist with compliance under the Renters' Rights Act 2025 and other applicable legislation, but does not constitute legal advice.
3. Account Registration
You must be at least 18 years old to create an account and use the Service.
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access
- Accept responsibility for all activity under your account
4. Subscription and Payment
The Service is offered on a subscription basis. By subscribing, you agree to the following:
- Subscription fees are charged in advance on a monthly or annual basis, depending on your chosen billing cycle
- All prices are quoted in GBP and are exclusive of VAT where applicable
- We may change our prices with 30 days' written notice
- Failed payments may result in suspension of the Service
5. Free Trial
We offer a 14-day free trial on all plans. No credit card is required to start a trial. At the end of the trial period, your account will be paused unless you add a payment method and choose to continue. Data entered during the trial will be retained for 90 days.
6. Cancellation and Refunds
You may cancel your subscription at any time:
- Monthly subscriptions: cancellation takes effect at the end of the current billing period
- Annual subscriptions: we offer a pro-rata refund for unused full months remaining on your subscription
- Your data will be available for export for 90 days after cancellation
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Share your account credentials with third parties
- Attempt to reverse-engineer, decompile, or disassemble the Service
- Upload content that is malicious, harmful, or infringes the rights of others
- Use the Service to store data unrelated to rental property compliance
8. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. We process your data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
9. Intellectual Property
All intellectual property rights in the Service, including software, design, content and branding, are owned by RightHold Ltd. You retain ownership of all data you upload to the Service. By uploading data, you grant us a limited licence to process and store that data solely for the purpose of providing the Service.
10. Disclaimers
The Service is provided "as is" and "as available". While we strive for accuracy, the Service does not constitute legal, tax, or professional advice. You are responsible for ensuring that your use of the Service, and any actions taken based on information provided by the Service, comply with applicable laws and regulations. We recommend consulting a qualified solicitor for legal advice. Compliance scores, certificate tracking, deadline alerts, and all compliance-related outputs provided by the Service are informational tools only. The landlord retains sole legal responsibility for meeting all statutory obligations under the Renters' Rights Act 2025 and all other applicable legislation.
11. Limitation of Liability
To the maximum extent permitted by law, RightHold Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of data, or business interruption. Our total liability in respect of any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet or telecommunications failures, cyber attacks, or failures of third-party service providers. In such circumstances, the affected party's obligations shall be suspended for the duration of the force majeure event.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
